Job Description

The Corporate Paralegal is responsible for reviewing, drafting and negotiating contracts; managing and maintaining the legal contracts database for the North America commercial specialty business; providing guidance to the commercial functions on departmental processes; performing tasks as assigned by departmental attorneys, and managing special projects as assigned.  The Manager, Legal Generalist exercises judgment and discretion in performing the essential duties and responsibilities and works with a minimal amount of direction from attorneys.  The position is based in Parsippany, New Jersey and reports to the Associate General Counsel, North America Specialty. 


Essential Job Responsibilities:


Reviews, drafts and negotiates various contracts, including but not limited to, master service agreements, service agreements, consulting agreements, license agreements, advisory board agreements, promotional speaker agreements, sponsorship agreements, non-disclosure agreements, and Statements of Work.


Counsels the commercial business generally on the overall North America contracting process and more specifically regarding the legal meaning of various contract provisions and the potential impact to the company in terms of risk and financial and other obligations.  Identifies legal and compliance concerns, such as Anti-kickback and HIPAA, that appear in draft contracts and works with the business and other support functions, such as Compliance and Privacy, to address.


Has overall responsibility for managing and maintaining the North America commercial specialty legal contracts database, overseeing the accurate and timely entry of all executed contracts, providing reports as requested, and improving the processes utilized for the tracking and execution of contracts.


Performs tasks as assigned by departmental attorneys and manages special projects as assigned. 


  • Bachelor’s Degree
  • 10 years experience corporate paralegal
  • 10 years experience commercial contract management 
  • 10 years experience with database systems
  • 10 years experience drafting and negotiating contracts. 



  • Pharmaceutical industry experience
