Job Description

Provide prompt, accurate and concise legal counsel to the Teva API North America operation (and other applicable businesses) of the API commercial operations, and potentially additional units,  of Teva Pharmaceutical Industries Limited entities, with the highest degree of integrity and professionalism.

20% domestic travel, rare travel abroad may be required

Essential Duties & Responsibilities    

  • Provide legal counsel on variety of issues including transactional matters, legal compliance and corporate record keeping. The position will serve a broad spectrum of business units and functional areas, including API manufacture & supply, research & development, information technology, finance, distribution and sourcing.
  • Draft, negotiate and review commercial contracts, including supply & distribution agreements, research and development agreements, licensing agreements in support of product development, technology service agreements, consulting agreements, confidentiality agreements and other business and legal documents.
  • Advise management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies.
  • Serve as Secretary of applicable US subsidiaries, prepare and conduct Board meetings, maintain Corporate Books and Records.
  • Assure compliance with international, federal, state and local laws and regulations applicable to the company’s operations and activities.
  • Assist in implementing, improving and reviewing legal processes and procedures.

Qualifications

  • JD from an ABA accredited law school
  • 5+ years of corporate/transactional law practice
  • Proven ability to negotiate and draft complex commercial agreements independently and successfully, including supply, license, development and other agreements
  • Strong client-focused skills, responsiveness and drive
  • Capability to identify a broad spectrum of relevant legal issues and advise corporate clients accordingly

Experience Preferred:    

  • Pharmaceutical experience (either through law firm practice or in-house experience) 
  • Knowledge and proficiency in Spanish preferred
